1)载运船只由卖方安排，允许分批装运并允许转船。
2)卖方于货物装船后，应将合同号码、品名、数量、船名、装船日期以电报通知买方。
(12)品质和数量/重量的异议与索赔：货到目的口岸后，买方如发现货物品质及/或数量/重量与合同规定不符，除属于保险公司及/或船公司的责任外，买方可以凭双方同意的检验机构出具的检验证明向卖方提出异议。品质异议须于货到目的口岸之日起30内提出，数量/重量异议须于货到目的口岸之日起15天内提出。卖方应于收到异议后30天内答复买方。
(13)人力不可抗拒：由于人力不可抗拒事故，使卖方不能在本合同规定期限内交货或者不能交货，卖方不负责任。但卖方必须立即以电报通知买方。如买方提出要求，卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的事故的证明文件。
(14)仲裁：凡因执行本合同或与本合同有关事项所发生的一切争执，应由双方通过友好方式协商解决。如果不能取得协议时，则在被告国家根据被告国家仲裁机构的仲裁程序规则进行仲裁。仲裁决定是终局的，对双方具有同等的约束力，仲裁费用除非仲裁机构另有决定外，均由败诉一方负担。

10.1双方同意，货物的质量及数量或重量以国家出入境检验检疫局或生产者验证为准。如果买方对所运货物质量有异议时，可以在货到目的港30天内向卖方提出索赔。如果买方对所运货物数量或重量有异议时，可以在货到目的港15天内向
卖方提出索赔。买方向卖方索赔时，应提供卖方同意的检验机构出具的检验报告。卖方对于由于自然原因或属于保险公司、船公司、其他运输机构或邮局责任造成的损失，不承担任何责任。
The two parties agree that the inspection on quality & quantity/weight will be based on Inspection Certificate issued by The State Administration For Entry-Exit Inspection And Quarantine Of The People's Republic Of China (SAIQ) or the Manufacturers with their standards. In case of a quality discrepancy, The Buyer, shall within 30 days after arrival of the goods at the port of destination, lodge against The Seller a claim. In case of a quantity/weight discrepancy, The Buyer shall, within 15 days after arrival of the goods at the port of the destination, lodge against The Seller a claim. The claim(s) should be supported by Inspection Certificate issued by a public surveyor approved by The Seller. It is understood that The Seller shall not be liable for any discrepancy of the goods shipped due to natural causes, or causes falling within the responsibilities of the insurance company, shipping company, other transportation organization or post office.
10.2 买方有义务根据需要取得进口许可证，并安排开立信用证并/或按合同要求付款。如果买方不能在合同规定期限内将信用证开到卖方或按合同规定付款或开来的信用证不符合合同规定，而在接到卖方通知后10天内仍不能及时办妥修正，则卖方有权撤销合同或延期交货，并有权提出索赔。
The Buyer shall undertake to take the necessary steps to obtain import license if required and to arrange the opening of L/C and/or effect remittances as required in this contract. In case the Letter of Credit or the remittances dose not reach The Seller within the time stipulated in this contract, or the Letter of Credit opened by The Buyer does not correspond to the stipulations of this contract and The Buyer fails to amend thereafter its terms within 10 days after the receipt of notification from The Seller, The Seller shall have the right to terminate the contract or to postpone the delivery of the goods and shall have also the right to lodge a claim for compensation.
11．不可抗力（Force Majeure）:
11.1合同任何一方因不可抗力事件不能履行合同的全部或部分义务时，不承担任何责任。
Non-performance by a party is excused if that party proves that the non-performance was due to “Force Majeure”
11.2本合同所称不可抗力事件是指合同双方在订立合同时不能预见、对其发生和后果不能避免并不能克服的事件，如战争、火灾、地震、政策变化等。
“Force Majeure” in this contract refers to an impediment beyond control and that it could not reasonably be expected to have taken the impediment into account at the time of the conclusion of the contract or to have avoided or overcome it or its
consequences. Such impediment includes war, fire, earthquake and governmental order or regulation, etc.
11.3遭受不可抗力的一方必须在事故发生时立即电告另一方并在事故发生后15天内将事故发生地相关机构出具的事故证明书用航空邮寄另一方为证。
The party who fails to perform must notify the other party by cable within the shortest possible time of the occurrence of the Force Majeure and within 15 days therein send by registered airmail to the other party a Certificate as evidence issued by the relevant authorities of the place where the accident occurs for confirmation by the other party.
12．仲裁（Arbitration）:
一切因本合同而发生的或与本合同有关的争议均应提交北京中国国际经济贸易仲裁委员会，并根据该会的仲裁规则进行仲裁，该仲裁的裁决为终局裁决，对双方均有约束力。
Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission in Beijing for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
13．其它（Miscellaneous）:（备选条款 for choice）
如果由买方提供商标和包装设计方案，买方应在装船期前60天将经确认的设计样本及其他相关材料的最后确认以快件寄送卖方。如发生违反有关专利、商标法律的情况，由买方承担责任。
If the trademark and the design for packing are provided by The Buyer, the approved design and final clarification of all relative details shall be sent by express mail to The Seller and reaching The Seller 60 days before the time of shipment. The Buyer will be held responsible for violation, if any, of the laws in regard to patent design and trademark.
14．合同效力（Effectiveness of Contract）:
14.1 本合同以中文书就正本两份，双方各执一份。本合同自双方代表签字之日起生效。
This contract shall be written in English with two originals and one copy for each party. This contract shall come into effect immediately after being signed by the representatives of both parties.
14.2买方应在收到合同书后的7个工作日内将其中一份经签署且无任何修改的合同书寄送卖方。

3. PACKING:

(2) Commercial Invoice in 5 (five) originals indicating contract number and container numbers made out in details as

(3) Packing list in 5 (five) originals issued by the Beneficiary.

(5) One copy of fax/cable to the Buyer advising the particulars of shipment immediately after shipment is made. 一份装运后传真/电报通知买方发货的发货通知。
(6) For CIP terms, one original and one copy of Insurance Policy for 110% of the invoice value, showing claims
payable in China, in currency of the draft, blank, covering air transportation All Risks and War Risks.
在CIP条件下，保险单正本一份副本一份。
(7) If the package is wooden materials, a certificate of treatment in original version is necessarily attached to the
shipment, and two copies of the certificate should be provided to the negotiable bank with other documents; or a certificate of non-wooden material package should be attached to the shipment.
如果包装是木质材料,请必须将包装熏蒸证明的原件随货发出，该证明的复件两份随其他文件 交至议付行；否则，随货发出非木质包装证明。
(8) One Photostatted copy of effective Export License issued by the Government, if necessary.
如有必要一份政府出具的出口许可证。
In addition, the Seller shall, within 7 days after shipment, send by airmail one set of aforesaid documents (except item 5) one set directly to the Buyers and one set to the Buyers by Fax within 48hours after shipment.
另外，卖方应在交货后的七天内空邮上述一套单据(不含第五项)给买方,并在发货后48小时内传真一套给买方。
The number of the document and their contents shall be complete and correct, if the Buyer fails to pass the Customs and take-over the goods in time due to the Seller not having provided the documents specified as above, all losses shall be borne by the Seller.
单据的数量和内容应完整、正确。如果是由于卖方没能提供上述单据而导致买方不能及时通关并接收货物，一切损失由卖方承担。
11. SHIPMENT：
The seller shall, within 3 days after the date of shipment stipulated in the Clause 5 of the contract, advise the Buyer by fax of the contract No., commodities, quantity, value, number of package, gross weight, measurement and date of readiness at the port of shipment.出口合同。
The Seller shall pay any taxes, custom duties and fees as well as charges levied in respect of the exportation of the goods contracted, and bear risks of the goods before the goods have been delivered to the above-mentioned air carrier at the port of shipment specified in the contract.
装运：
卖方应在本合同第5条所述的装运日期后3天内以传真通知买方合同号,商品名称，数量，总价，装箱数量，重量，体积及在起运港的备货日期。
卖方应自负与出口货物有关的各种税赋，关税及费用，并承担货物的全部风险直到货物被交付前述的起运港空运承运人掌握。
(1) In case of FCA:
The Seller shall deliver the goods within the time of delivery into the charge of the air carrier or his agent named
by the Buyer at the port of shipment specified in the contract.
在FCA情况下：
卖方负责在装运期内将货物运输到合同规定的交货港交付由买方指定的空运承运人或其代理
掌握。
(2) In case of CFR:
The Seller shall deliver the goods within the time of delivery from the port of delivery to port of destination. The Seller shall, immediately after dispatch of the goods, advise the Buyer by fax of the contract No., commodity, invoice value and the date of dispatch for the Buyer to arrange insurance in time.
Should the port of destination marked on the airway bill be found not in conformity with the stipulations of this
contract, the Buyer shall have the right to refuse to effect the payment.
在CFR情况下：
卖方负责在装运期内将货物从装运港运输到目的港。卖方应在货物起运后立刻用传真通知买方
合同号，商品名称，发票金额，装运日期以便买方及时安排保险。
如果空运单据上标明的目的港与合同规定不符，买方有权拒付货款。
(3) In case of CIP terms:
The Seller shall ship the goods within the time of shipment from the port of shipment to the port of destination.
The air freight, insurance premium in respect of the exportation of goods contracted shall be borne by the Seller. 在CIP情况下：
卖方负责在装运期内将货物从装运港运输到目的港。与出口货物有关的合同货物的运费，保险
费由卖方承担。
12. SHIPPING ADVICE:
The Sellers shall, immediately upon the completion of the loading of the goods, advise by fax / cable the Buyers of the Contract No., commodity, quantity, invoiced value, gross weight, flight No. and date of shipment etc. In case the buyer fails to arrange insurance in time due to the insufficient notice given by the seller, all losses resulting therefrom shall be borne by the seller.
装运通知：
卖方应该在货物装船完毕后，以传真/电报立刻通知买方合同号，货物，数量，发票金额，毛重，航班号及起航时间。若因卖方通知不及时致使买方不能及时投保，卖方承担全部损失。
13. GUARANTEE OF QUALITY:
The Sellers guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract and conforms to the data sheets or technical manuals of the commodities contracted. The guarantee period shall be 36 months counting from the date of the final acceptance of the goods.
品质保证：
卖方保证此货物是用最好的材料、一流的工艺、原厂、原包装，符合合同的规定的品质和级别的新产品，质保期自双方签署验收报告之日起36个月。
14. CLAIMS:
Within 90 days after the arrival of the goods at destination, should the quality, specifications or quantity be found not in conformity with the stipulations of the Contract except those claims for which the insurance company or the carrier are liable, the buyer, on the strength of Inspection Certificate issued by the local inspection branch of the State Administration for Entry-Exit Inspection and Quarantine Bureau (hereinafter referred as “Inspection Authorities”) of the P.R.C, may require the seller to remedy the lack of conformity by repairing, replacement or compensation, and all the expenses (such as inspection and repairing charges, freight for replacement, insurance premium, storage or loading and unloading charges, etc.) shall be borne by the seller. As regards quality, the seller guarantees if, within 12 months from the date of the arrival of the goods at destination, damages occur in the course of operation by reason of inferior quality, poor workmanship or the use of inferior materials, the buyer shall immediately notify the seller in writing and put forward a claim supported by Inspection Authorities. The Certificate so issued shall be accepted as the base of the claim. The seller, in accordance with the buyer’s claim shall be responsible for the immediate elimination of the defects, complete or partial replacement of the goods or shall devaluate the goods according to the state of the defects. Where necessary, the buyer shall be at liberty to eliminate the defects himself at the seller’s expenses. If the seller fail to answer the buyer within two weeks after receipt of the aforesaid claim, the claim shall be deemed as having been accepted by the seller. 索赔：
自货到目的港起90天内，经发现货物质量、规格或数量与合同规定不符者，除那些应由保险公司或船方承担的部分外，买方可凭中华人民共和国国家出入境检验检疫局当地检验机构（后简称检验机构）出具的商检证书，有权维修、更换或索赔，所有费用（如检验和维修费、更换运费、保险费、储存或装卸费等）由卖方承担。
卖方担保货到目的港起12个月内，使用过程中由于质量低劣、工艺不佳或材料低劣而出现的损坏，
买方立即以书面形式通知卖方并出具检验机构开列的检验证书，提出索赔。商检证书乃索赔之依据。按照索赔要求，卖方有责任立即排除货物之缺陷，全部或部分更换货物或依据缺陷情况将货物作降价处理。如果需要，买方可以自行排除缺陷，费用由卖方承担。若卖方在收到上述索赔的两周内没有回复买方，可被视为卖方接受索赔条件。
